Statutes of the "Polish Association for Knowledge Promotion"

 

Chapter 1
General provisions

§ 1.
The Association is called the "Polish Society for Promotion of Knowledge" and is hereinafter referred to as the Association.

§ 2.
The seat of the Association is LUBLIN. The area of activity is the territory of the Republic of Poland and other countries in accordance with local law.

§ 3.
The Association is established for an indefinite period of time. The Association has legal personality. It acts on the basis of the provisions of the Act on Associations (Journal of Laws of 1989 No 20 item 104) and these Statutes.

§ 4.
The Association uses a longitudinal and circular seal with the content determined by the Board. 2.
The 2nd The Association may have its own badge, logo and may issue ID cards, in accordance with existing regulations.

§ 5.
1. The Association may belong to other national and international organisations with similar statutory aims.
2. The decision to join or leave the organisations referred to in paragraph 1 is taken by the General Meeting of Members by simple majority.

§ 6.
The Association may carry out public benefit activities after it has fulfilled the conditions laid down by the appropriate legislation.

§ 7.
The Association bases its activity on the social work of all its members. In order to realise its statutory aims, the Association may employ employees. Any member of the Association as well as non-members can be employees.


Chapter 2
Objectives of the Association

§ 8.
The objectives of the Association are:
1) to carry out activities for the popularisation of knowledge among the public;
2) carrying out activities of an educational and social nature;
3) conducting activities for the dissemination and commercialisation of scientific research results;
4) conducting activities aimed at supporting initiatives in the promotion and popularisation of knowledge;
5) to carry out activities aimed at increasing the potential of enterprises, offices and public benefit organisations by raising the intellectual capital of their employees;
6) integrating people for whom the ideals of popularisation of knowledge are close.

§ 9.
The Association pursues its statutory objectives by:
1) conducting publishing activities;
2) organising conferences, training courses and seminars;
3) inter-regional and international co-operation with organisations carrying out similar activities;
4) cooperation with schools and universities;
5) counselling for enterprises;
6) raising external funds for research, education and dissemination of knowledge;
7) assistance to enterprises and other institutions in obtaining external funds for purposes related to scientific research, education and dissemination of knowledge;
8) promoting good practice in education, research and environmentally and socially friendly activities.

§ 10.
The Association may carry out business activities according to the principles set out in separate regulations; the income from business activities is intended exclusively for the realisation of the Association's statutory objectives.

Chapter 3.
Members, their rights and obligations

§ 11.
The Association has members: ordinary members and supporting members.

§ 12.
Natural persons may become members of the Association. A legal person may only be a supporting member of the Association.

§ 13.
1. An ordinary member of the Association may be an adult citizen of the Republic of Poland having full capacity to perform legal acts and not deprived of public rights, who will submit a written membership declaration to the Board and present a positive opinion of two members of the Association.
2. An ordinary member becomes a member on the basis of the decision of the Board of the Association.

§ 14.
1. A natural or legal person interested in the activities of the Association and declaring financial, material or substantial assistance in the realisation of the Association's statutory goals may become a supporting member of the Association.
2. One becomes a supporting member after submitting a written declaration on the basis of a decision of the Association's Board.
3. The form and type of support for the Association shall be agreed by the supporting members with the Association's Board.

§ 15.
Ordinary members have the right to:
1) participate in the deliberations of the General Meeting of Members of the Association with a casting vote;
2) passive and active participation in elections to the authorities of the Association;
3) use the property and all forms of activity of the Association;
4) to manage undertakings carried out by the Association; 5) to participate in undertakings carried out by the Association;
5) participate in the undertakings carried out by the Association; 6) submit motions and proposals to the Association;
6) submit motions and proposals concerning the activities of the Association.

§ 16.
Ordinary members are obliged to:
1) take part in the activities of the Association and the realisation of its objectives;
2) observe the Statutes and resolutions of the Association's authorities;
3) pay contributions regularly;
4) participate in every General Meeting of Members.

§ 17.
Supporting members do not have passive and active electoral rights, apart from that, they have the same rights as ordinary members.

§ 18.
A supporting member is obliged to fulfil the declared activities, to observe the Statutes and the resolutions of the Association's authorities.

§ 19.
Loss of membership occurs as a result of:
1) written resignation submitted to the Board;
2) death of a member of the Association;
3) loss of civic rights by virtue of a valid court judgement;
4) exclusion by the General Meeting of Members due to:
a) violation of the Statutes,
b) failure to comply with the resolutions of the Association's authorities,
c) notorious failure to participate in the work of the Association,
d) non-payment of membership fees,
e) acting to the detriment of the Association;
f) at the written request of the Board or three members of the Association for the reasons mentioned above.

Chapter 4.
Authorities of the Association

§ 20.
The authorities of the Association are:
1. the General Meeting of Members of the Association;
2. the Board;
3. the Audit Committee.

§ 21.
1) Members of the authorities of the Association perform their functions socially. 2.
2) The term of office of the authorities of the Association (the Board of Management and the Audit Committee) is joint and lasts 4 years counted from the General Assembly to the General Assembly.
3) The term of office of the first Board lasts 2 years.
4) The Board of Management and the Audit Committee are elected by secret ballot with an absolute majority (more than 50% in favour).

§ 22.
1) The General Meeting of Members is the supreme authority of the Association.
2) The General Meeting of Members is chaired by the Chairperson of the meeting elected from among the members present at the meeting.
3) The General Meeting of Members is attended by ordinary members and supporting members.
4) General Meeting of Members may be ordinary and extraordinary.

§ 23.
Ordinary General Meeting of Members is convened once a year by the Board of the Association. The date and place of the meeting is announced to all members by the Board at least 14 days before the date of the meeting. The notification is made by e-mail.

§ 24.
1) An extraordinary General Meeting of Members may be held at any time. It is convened by the Board on its own initiative, at the request of the Audit Committee or at the written request of at least 1/3 of the total number of ordinary members of the Association.
2) The General Meeting of Members must be attended by at least half of the members entitled in the first term, and in the second term, which may be appointed one hour later on the same day - it may be effectively held regardless of the number of participants.

§ 25.
Resolutions of the General Meeting of Members of the Association are adopted by a simple majority of votes irrespective of the number of members present and entitled to vote, with the exception of resolutions on the election of authorities, which are adopted by an absolute majority of votes.

§ 26.
The powers of the General Meeting of Members include:
1) adopting the directions of development and the plan of activity of the Association;
2) adopting the Articles of Association and its changes;
3) election and dismissal of the President of the Board, the Board of Management, the Chairman of the Audit Committee, the Audit Committee;
4) granting a vote of acceptance to the Board of Management at the request of the Audit Committee;
5) approval of the reports of the Board of Management and the Audit Committee;
6) adopting the budget of the Association
7) adopting the registration fee and membership fees
8) considering the motions and demands made by the members of the Association or its authorities;
9) consideration of appeals against resolutions of the Board of Management;
10) passing a resolution on the dissolution of the Association and allocating its assets; 11) passing resolutions on the dissolution of the Association;
11) passing resolutions on the expulsion of a member of the Association;
12) passing resolutions on any matter submitted for consideration by the Board of Management, the Audit Committee or members of the Association, as long as these are not reserved for other authorities of the Association.

§ 27.
1st The Board consists of 3 people and is appointed to manage the whole activity of the Association by the General Meeting of Members for a joint 4-year term of office.
2nd The President of the Board is directly elected by the General Meeting of Members.
(3) The Board meets as the need arises, but at least once every six months.
(4) The work of the Board shall be directed by the President or a person designated by him/her as a member of the Board.

§ 28.
The powers of the Board include:
1) conducting the affairs of the Association not reserved by law or these Articles for the General Meeting of Members;
2) managing the current work of the Association;
3) executing resolutions of the General Meeting of Members;
4) drawing up work plans and budgets;
5) exercising management over the Association's assets (including incurring property obligations);
6) passing resolutions on the acquisition, disposal or encumbrance of the Association's assets in accordance with the adopted budget;
7) representing the Association outside;
8) convening a General Meeting of Members;
9) organising and conducting business activities;
10) admitting members.

§ 29.
The Board may appoint its proxies for special tasks.

§ 30.
The Board of Directors may establish offices and employ staff to manage the affairs of the Association.

§ 31.
The management of the Association's affairs not reserved by law or these statutes is the responsibility of the Board.

§ 32.
Resolutions of the Board are passed by an absolute majority of votes with the participation of all Board members.

§ 33.
1) Members of the Board may voluntarily resign from their function by submitting their resignation to the Audit Committee.
2) In the case of resignation of a Member of the Board, at the request of the Audit Committee, within 1 month from the date of resignation, an extraordinary General Meeting of Members is convened to complete (as a result of elections) the composition of the Board.

§ 34.
1) The Audit Committee is appointed to control the activities of the Association. The inspection is carried out at least once a year.
2) The Audit Committee consists of a Chairman and two members.
3) Members of the Audit Committee cannot be members of the Board of Management.

§ 35.
The powers of the Audit Committee are:
1) control of the activities of the Association with particular emphasis on the economic and financial activities in terms of purposefulness, reliability and economy as well as compliance with the resolutions of the General Assembly;
2) submitting conclusions from the audit to the General Meeting of Members;
3) the right to request the convening of a General Meeting of Members and a meeting of the Board of Directors;
4) submit motions for the discharge of the Board of Directors;
5) reporting on its activities to the General Meeting of Members.

§ 36.
Resolutions of the Audit Committee are adopted with the participation of all members of the Audit Committee by a simple majority of votes.

§ 37.
1) Members of the Audit Committee may voluntarily resign from their positions by submitting their resignation to the Board.
2) In the case of resignation of a Member of the Audit Committee, at the request of the Board, within 1 month from the date of resignation, an extraordinary General Meeting of Members is convened to complete (as a result of elections) the composition of the Audit Committee.

Chapter 5.
Assets and funds


§ 38.
The assets of the Association shall be formed:
1) from the registration fee;
2) from membership fees;
3) from donations, inheritances, bequests;
4) income from its own statutory activities;
5) income from real estate and movables owned or used by the Association;
6) grants and public donations.

§ 39.
The Association shall not be entitled to:
1) grant loans or secure liabilities with the Association's assets in relation to its members, members of its organs or employees, as well as to persons with whom the employees are married or in a relationship of consanguinity or affinity in a direct line, consanguinity or affinity in a lateral line to the second degree, or are related by adoption, guardianship or custody hereinafter referred to as "related persons";
2) transferring the assets for the benefit of the members of the Association, members of its authorities or employees, as well as their relatives, on principles other than in relation to third parties, in particular if the transfer is made free of charge or on preferential conditions;
3) the use of assets for the benefit of members, members of organs or employees and their relatives on principles other than in relation to third parties, unless this use results directly from the statutory purpose of the Association;
4) purchase of goods or services from entities in which members of the Organisation, members of its bodies or employees and their relatives participate, on principles other than in relation to third parties or at prices higher than market prices.

§ 40.
The General Meeting of Members shall determine the amount of the entry fee and membership fee and the deadline for payment.

§ 41.
1) The Association carries out financial management in accordance with applicable provisions of the Accounting Act.
2) The Association may carry out in the country and abroad, in accordance with the provisions in force in this regard, economic activity in the subject:

Chapter 6.
Representation of the Association


§ 42.
1) Two members of the Board, acting jointly, are authorised to represent the Association, including in property matters, subject to paragraph (2) below.
2) Each member of the Board, acting alone, is entitled to represent the Association in administrative or judicial proceedings and in contacts with public administration authorities.

Chapter 7.
Amendment to the Articles of Association and dissolution of the Association


§ 43.
1) Adoption of the Articles of Association or its amendment and adoption of a resolution on the dissolution of the Association by the General Meeting of
Members requires a simple majority of votes in the presence of at least half of those entitled to vote.
2) When passing a resolution on the dissolution of the Association, the General Meeting of Members shall determine the manner of its liquidation and the destination of the Association's assets.

Chapter 8.
Final provisions


§ 44.
In matters not regulated by this Statute, the provisions of the Law
Law on Associations and other laws.
